General conditions of sale
INTRODUCTIONS: The goods are considered sold under the General Conditions of Sale set out below and published on the website www.getimpresssed.eu. The same are considered accepted, without reservations, with the execution of the order which can be received in the forms indicated in the following art. 3 (Orders). These General Conditions of Sale regulate the commercial relationship between the company Get Impressed S.r.l. (Seller) and its Customers (Buyer (s)), therefore, no term or condition set unilaterally by the buyer and no declaration and/or other statements that was not explicitly agreed in writing by both parties, may derogate from these Conditions of Sale. 1. PRICES: The prices of the products will be those indicated in the pricelist of Get Impressed S.r.l., in force at the time the order is placed by the Customer. They are understood to be net of VAT, of any insurance costs and free port of the Seller, and of any other accessory charge except in cases where the parties have specifically agreed, in writing form, to different conditions. Therefore, they do not include, for purely identifying and non-exhaustive purposes, the transport costs from the warehouses of Get Impressed S.r.l. to those of the Customer. Furthermore, the Seller reserves the right, at its sole discretion, to vary the prices indicated in the pricelist, without any obligation to give prior notice to the Customers. 2. PRODUCTS: Product descriptions and relative colors published in the official catalog and/or on the website www.getimpressed.eu must be understood as indicative and not binding; any eventual clarification and / or product/article specification must be requested, in writing form, to the sales office or verified through a sample. 2.1 Get Impressed S.r.l. recommends extreme caution regarding the custody, use, and handling of lighters, for being potentially dangerous. 3. ORDERS: Orders are accepted only and exclusively in written form, to be sent by fax, e-mail, or directly, by connecting to the website www.getimpressed.eu. Purchase orders must contain all the elements necessary for their correct management: product code, description, quantity, color, special requests, etc. 3.1 Any contractual or extra-contractual responsibility of Get Impressed S.r.l. is excluded, for direct or indirect damage to persons and / or things caused by the non-acceptance, even partial, of one or more Orders and / or for any problems related to the production or planning of the Orders themselves. The occurrence of any of the events listed above will not entitle the Customer to request compensation for any damages and / or compensation of any kind. 3.2 Purchase Orders cannot be canceled by the Customer without the written consent of Get Impressed S.r.l.; otherwise, the latter will charge the Customer for all costs, as well as any eventual penalties and any other ancillary charges borne by the Seller. 3.3 Any prices indicated by the Buyer will not be considered binding but will be applied the price list in force with the application of eventual discounts granted to the individual Customer. 3.4 Orders received will be processed based on the type of fulfillment requested by the Customer and according to the availability of the goods in the individual warehouses: Standard fulfillment: : the order will be processed - even partially - on the date indicated in the Order Confirmation Scheduled fulfillment: the order will be processed on the working day suggested by the customer, if accepted by Get Impressed S.r.l., and also indicated in the relevant Order Confirmation; 3.5 Delivery terms: In the document called order confirmation sent to the customers, the date of shipment means the date of departure from one of the Seller's warehouses. It should be noted that the delivery terms indicated in the Order Confirmations are indicative, exceeding this deadline will not constitute a default on the part of Get Impressed S.r.l. 3.6 Get Impressed S.r.l. reserves, at any time and for business needs, the right to unblock Orders, possibly blocked for any reason, without the need for specific notice. All delivery dates are to be considered purely indicative. The delivery deadline is not to be considered essential and in no case does the Customer have the right to cancel the order or to any compensation for late delivery nor will there be any obligation for the Seller to notify about any delays by the Courier and in any case not attributable to the Seller. 3.7 The Customer is obliged to promptly communicate any changes of the registered office and / or domicile indicated in the registration phase of their data. Failing that, the notifications or communications made to the address indicated during registration will still be considered effectively and validly carried out. 4.TRANSPORT: The goods travel at the risk of the customer even if sold "Free Port". Transport is always and in any case at the customer's expense, except in cases where both parties have agreed, in writing form, to a different condition. 4.1 Get Impressed S.r.l. will not be responsible for any loss and / or damage to the product starting from the time of delivery of the goods to the carrier, up to the recipient. The customer will not be entitled to compensation for any damage, direct or indirect, due to the exceeding of the delivery period initially envisaged. 4.2 The goods shipped will be insured only if expressly requested by the Customer, with the consequent charge of the cost, due to the cover of the relevant policy. 4.3 The sales of products from the ROLY and NATH clothing collections, in order to benefit from the condition of carriage in "free port", must be valued in each individual invoice for an amount not less than € 300,00. 5. TERMS OF PAYMENT AND RESERVED DOMAIN: Payment must be made, strictly speaking, in compliance with the terms and conditions agreed between the parties. 5.1 In the event of delayed payment, or in case of outstanding payment, the Customer will no longer be entitled to any benefit of the term of subsequent deadlines, according to and for the purposes of the provisions of art. 1186 of the Italian Civil Code. 5.2 Any delay or irregularity in payments attributes to Get Impressed S.r.l. the right to: a) suspend ongoing supplies, even if not related to the payment in question; b) vary the methods of payment and discount for subsequent supplies, even including requesting advance payment or the issuance of any guarantees; c) revoke any agreed preferential price lists; d) to request, starting from the due date for payment and without the need for formal notice, the default interest on the amount still due, to the extent of the rate established by the laws in force for commercial transactions (in particular the Legislative Decree 231/2002 and subsequent additions), without prejudice in any case to the right of Get Impressed S.r.l. to ask for compensation for a greater damage suffered. 5.3 The Customer will be required to pay in full for the products even in the event of exceptions or disputes that will be defined only after the payment of the amount due. 5.4 The Customer renounces in advance to request compensation with eventual credits, still originated, towards Get Impressed S.r.l. 5.5 The sale is carried out with an express reservation of ownership agreement, according to and for the purposes of the provisions of art. 1523 cc, whereby the ownership of the ordered goods will pass to the Customer only at the time of payment of the balance of the consideration relating to the overall supply of goods, while the risk and the perishing of the goods will be borne by the Customer from the moment of delivery itself, as regulated in these General conditions of Sale. 5.6 All supplies of goods regulated by deferred payment for a value of less than € 100, will be subject to a fixed charge of € 3,00. 5.7 In the case of bank outstanding, the fixed amount of € 10.00 will be charged, determined as a flat rate, relating to bank charges and commissions, as well as administrative expenses. 5.8 For VAT accounting purposes (Article 26), discounts or rounding-offs on the invoiced amounts cannot be accepted. 6. DISPUTES - COMPLAINTS: The buyer declares to be fully aware of the characteristics of the product purchased and therefore the Selling company is not liable for any unsuitability of the product for the use it is intended for by the Customer. 6.1 It is advisable to always check the goods upon delivery as returns or replacements of personalized items will not be accepted under any circumstances. 6.2 The customer is obliged - upon delivery of the goods by the Courier - to check both the transport documents and the goods delivered, and, more specifically, to verify that: - the number of packages delivered corresponds to what indicated in the transport document; - the goods correspond to what is actually indicated in the transport document; - the packaging is intact, not damaged or wet, or in any way altered or rigged. 6.3 Any damage or mismatch with the number of export cartons must be immediately reported to the Courier who is making the delivery, by putting on the relative transport document the words "withdrawal with reserve due to lack and / or damage of n ° ... packages" and communicated in writing, also by e-mail, to Get Impressed within eight days of receipt of the goods. Even if the packaging is intact, the goods must be checked and any hidden defects must be reported to Get Impressed S.r.l. no later than eight days after receipt of the goods, under penalty of forfeiture. Therefore, claims cannot be accepted in the absence of a written notice on the carrier's document. Any report sent after the aforementioned terms and / or through methods or means other than those indicated above cannot be taken into consideration and consequently, the supply will be considered accepted as free from defects or faults. 6.4 Returns not authorized by specific written communication cannot be accepted and, consequently, will be rejected. 6.5 No exceptions, including any discrepancy in the goods or delay in delivery of the same, may, in any case, be opposed by the Customer in order to delay or avoid the payment due by virtue of the supply (s) made. 6.6 For reasons of procurement and management of foreign suppliers, the articles published in the catalog and placed on sale may have different origins, so - from one production batch to another production batch, or, in case of procurement from different suppliers - there may be differences in the shades of colors, measurements, sizes and finishes, such that, in any case, they do not significantly and substantially modify the product itself. 6.7 By accepting these General Conditions of Sale, the Customer, who acts for purposes falling within the entrepreneurial and / or professional activity carried out, expressly renounces to act in recourse, according to Article 131 of Legislative Decree 206/2005 "Consumer Code", against the Selling Company in the event of disputes raised by the end-user, by other sellers belonging to the same commercial channel or by other intermediaries or third parties. 6.8 Any deliveries of damaged goods with a taxable value of less than € 30,00 will be normally credited and never replaced. 6.9 Any complaints and disputes on the products of the ROLY and NATH collections are not subject to returns and re-storage. 7. RETURNS: Each return must first be confirmed in writing, upon completion of a specific and appropriate authorization procedure. The management of a return has a cost for the customer, equal to 30% of the value of the returned goods - with a minimum of 15 euros - as a contribution for the management of the repositioning of the related goods in the warehouse. In the event of free port delivery for the goods subsequently returned, the cost of transport - both for the outward and return journeys - will be charged at the economic conditions of transport in place. All returns will be arranged to one of the spanish warehouses and managed by one of Get Impressed' s designed couriers. INTELLECTUAL PROPERTY: Get Impressed S.r.l. is not responsible for any expense or damage suffered by the Customer deriving from legal actions or proceedings brought against the same and which constitute a possible direct or indirect violation of any right protected by the Industrial Property Code. 8.1 In the event that the Products are found to be in violation of the industrial property right or of the know-how or of trademarks and / or patents of third parties, Get Impressed S.r.l. will not be held responsible in any way for such violations and in the event that the Customer should be subject to complaints and / or legal actions by third parties for infringement of trademarks, patents, know-how or other industrial secrets resulting from information and / or documents from the Customer, the latter undertakes to protect Get Impressed S.r.l. from any claim for compensation and any costs directly and / or indirectly incurred. 8.2 The Customer undertakes, however, to report to Get Impressed S.r.l. any hypothesis of violation of the industrial property right or of the know-how or of trademarks and / or patents of third parties of which it becomes aware in carrying out its activities. 8.3 The Customer expressly guarantees Get Impressed S.r.l. against any claims, costs and expenses deriving from the violation of copyright, patents, trademarks, or designs of the Products supplied by the Seller. 8.4 With the purchase of the product, the Customer, therefore, does not acquire any rights over the trademarks and other distinctive signs represented by way of example.
NOTES RELATING TO THE SUPPLY OF CUSTOMIZED PRODUCTS> 9. ORDER CANCELLATION: All orders are considered confirmed and cannot be canceled in the absence of written approval from Get Impressed S.r.l., which can be granted if production has not yet started. In any case, the costs relating to set up costs, matrices, digitization and drafts - if already made - will in any case be charged, increased by 10% 10. APPROVAL OF ORDERS: Before starting work aimed at customizing the ordered products, Get Impressed S.r.l. must receive written confirmation of the approval of the printing draft from the customer. 11. DELIVERY TIMES: Delivery times start from the moment in which all the technical details relating to the order have been agreed, and from the moment in which Get Impressed receives all the approvals / information - by way of example and not exhaustive - such as the logo and the printing draft, necessary for the execution of the order. 11.1 Delivery times are established assuming that the order from the customer is workable, depending on the circumstances known at that precise moment. If the circumstances are different from those known to Get Impressed, when it has established the delivery date, Get Impressed may extend the timing relating to the customization processes, depending on the time required for the execution of the order, taking into account the new circumstances. 12. DELIVERIES FOR EXCESS OR DEFECT: Get Impressed S.r.l. - concerning all orders of personalized goods - reserves the right to make deliveries in excess or in deficit, in the order of 5% of the quantity ordered. 13. RESERVATIONS REGARDING THE USE OF LOGOS AND TRADEMARKS DURING THE CUSTOMIZATION PHASE OF THE PRODUCTS ORDERED: By sending the order and the graphics to Get Impressed S.r.l., the Customer declares and guarantees that the use or representation of the logos or trademarks, will not violate any provision of the law and that the same use will not be subject to any restrictions. The Customer assumes the obligation to fully indemnify Get Impressed, for any action - direct or indirect - caused by the improper use of the logos and trademarks sent. 14. FINAL PROVISIONS AND JURISDICTION: For any dispute, in any way connected with these general conditions of sale, the jurisdiction of the Court of Turin is recognized. Any agreement in contrast with the above will be valid only if formulated in writing and specifically signed by both parties. Information on the processing of personal data: According to Article 13 of Legislative Decree no. 196 of 2003, Get Impressed S.r.l. guarantees that the processing of personal data will be carried out in compliance with fundamental rights and freedoms, as well as the dignity of the data subject, with particular reference to confidentiality, personal identity and the right to protection of personal data.
